Terms & Conditions
General Work Terms and Client Responsibilities
- Content Provision: The client is solely responsible for providing all website content (text, multimedia) to BBI Web Solutions before work commences.
- Scope of Work: The contract does not include data entry, web hosting, or custom artwork/graphics unless explicitly stated, paid for, and agreed upon by both parties. Any artwork, images, or text created by BBI Web Solutions for the client remain the property of BBI Web Solutions and/or its suppliers unless otherwise agreed upon.
- Data Backup: The client is responsible for backing up all website content before BBI Web Solutions starts work. BBI Web Solutions is not liable for any data loss or damage under any circumstances.
- Timelines: BBI Web Solutions will strive to meet agreed-upon deadlines but may need to adjust timelines due to unforeseen circumstances (e.g., deployment issues, third-party delays, resource unavailability).
- Copyright and Permissions:
- The client retains copyright to provided data, files, and logos and grants BBI Web Solutions the right to publish and use them.
- The client is responsible for obtaining permissions for any third-party copyrighted material and indemnifies BBI Web Solutions against any claims arising from copyright infringement.
- A website design/placement contract is considered a guarantee that the client has obtained necessary permissions.
- Design Review: BBI Web Solutions will provide the client with opportunities to review the website's appearance and content during and after the design process. If no feedback is received within seven days of sharing, the materials will be considered approved.
- Post-Deployment Alterations: BBI Web Solutions is not responsible for website alterations made by the client or third parties after deployment. Resolving issues arising from such alterations may incur additional charges.
Payments
- Payment Methods: BBI Web Solutions accepts payments by check, cash, or bank transfer but reserves the right to decline any method without notice. Payment methods and prices may vary without prior notice.
- Cancellation Fees: Cancelling the service before completion may incur a fee equal to the completed work's value. Non-payment of cancellation or overdue fees may result in legal action.
Support and Third-Party Services
- Support: One month of free support is provided after launch, covering bug fixes and email support (excluding site architecture, rule changes, and add-ons). Further support is available through various paid packages.
- Third-Party Services: Any third-party services integrated into the website (requiring licensing, payment, etc.) are the client's responsibility. If procured by BBI Web Solutions, the cost will be prepaid by the client. BBI Web Solutions does not provide guarantees or warranties for third-party services.
Re-work, Enhancements, and Billing
- Additional Features: Features not in the original scope of work will be managed through a change process and billed additionally.
- Minor Changes: Minor tweaks are usually accommodated, but excessive requests may be billed at an hourly rate.
- Enhancements/Add-ons: Some changes are classified as enhancements/add-ons and will be chargeable. Clients will be informed before work starts.
- Re-work Requests: Changes requested after approval or moving to the next project stage are considered add-ons and will be billed additionally.
- Payment Terms: The client must pay BBI Web Solutions' fees without deductions or discounts by the agreed-upon dates.
Limitations of Liability
- No Warranties: BBI Web Solutions will provide the service with reasonable skill and care but makes no warranties regarding its availability, quality, accuracy, or performance.
- Exclusion of Liability: BBI Web Solutions is not liable for loss or damage caused by inaccuracies, delays, or errors in website production, nor for loss or damage to client-provided artwork, data, or content.
- Liability Limitations: Except in cases of death or personal injury caused by negligence, BBI Web Solutions' liability is limited. It is not liable for direct, indirect, or consequential damages arising from this agreement or the service's operation.
- Third-Party Services: BBI Web Solutions does not guarantee third-party services and is not liable for failures in those services.
Approvals and Delivery
- Stage-Based Approvals: The project involves stages, and work on the next stage begins only after approval and payment for the previous stage.
- Code and Material Transfer: Upon completion and final payment, all developed code and materials will be transferred to the client, who will then own the code.
- Website Approval and Upload: The completed website will be uploaded to BBI Web Solutions' server for client approval and then to the destination server. BBI Web Solutions reserves the right to delay uploading until full payment.
- Right to Publish: BBI Web Solutions may publish the completed work for reference, unless the client requests otherwise in advance.
Timescale
- Commencement: The project timeline starts upon receiving the agreed-upon deposit and all website content from the client.
- Extension: BBI Web Solutions may extend the timeline due to circumstances beyond its control.
Jurisdiction
- Governing Law: These terms are governed by and interpreted under Philippine law.
- Dispute Resolution: The courts of the Philippines have exclusive jurisdiction over any disputes arising from these terms and conditions.
Severability
- Invalid Provisions: If any provision is deemed invalid, illegal, or unenforceable, the remaining provisions remain in effect. The invalid provision will be replaced with a mutually acceptable valid and enforceable one.
